1. Definitions
- "Seedvern", "we", "us", "our" — refers to Seedvern, an education provider based in George Town, Penang, Malaysia.
- "Program" or "Service" — refers to any educational course, workshop, or program offered by Seedvern, including the Startup Finance Basics Course, Founder Finance Foundations Workshop, and Complete Entrepreneurial Finance Program.
- "User" or "you" — refers to any individual who visits our website, submits an enquiry, or enrols in a Program.
- "Content" — refers to all materials, templates, modules, recordings, and documents provided as part of a Program.
- "Agreement" — refers to these Terms & Conditions, which form the binding agreement between you and Seedvern.
2. Acceptance of Terms
By accessing our website at seedvern.biz, submitting an enquiry form, or enrolling in any Program, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions.
You must be at least 18 years of age and have full legal capacity to enter into this Agreement. If you are enrolling on behalf of a business, you confirm that you have the authority to bind that business to these terms.
3. Program Description and Scope
Seedvern provides structured, educational programs covering general small-business finance fundamentals. All content is designed for learning purposes only. Our programs are not a substitute for professional financial, legal, investment, or tax advice. We do not hold ourselves out as licensed financial advisers or regulated professionals.
Programs are primarily delivered to participants based in Malaysia, though participation is not restricted by location. Where session timings or content refer to local context, they reflect Malaysian small-business conditions.
We reserve the right to adjust program formats, schedules, or content to maintain quality. Material adjustments will be communicated to enrolled participants in advance.
4. Enrolment and Account
Enrolment in a Program is confirmed upon receipt of full payment and a written confirmation from Seedvern. You are responsible for providing accurate contact and payment information during the registration process.
Where access to an online participant portal or community is provided as part of a Program, you are responsible for maintaining the confidentiality of your login credentials. You must not share access with third parties.
We may suspend or terminate your access to a Program if you breach these terms or engage in conduct that disrupts other participants or the learning environment.
5. User Responsibilities
As a participant, you agree to:
- Use Program materials only for your personal educational purposes
- Engage respectfully with facilitators and other participants in group settings
- Not record, reproduce, or distribute Program sessions or materials without prior written consent from Seedvern
- Not misrepresent Program content as professional financial advice to others
- Provide accurate information during enrolment and enquiry processes
We reserve the right to remove participants who behave in a disruptive, abusive, or disrespectful manner. In such cases, no refund will be provided.
6. Intellectual Property
All Program content — including but not limited to modules, templates, canvases, worksheets, facilitation materials, and written guides — remains the intellectual property of Seedvern.
Upon enrolment, you are granted a limited, non-exclusive, non-transferable licence to use Program materials for your personal educational and business planning purposes only. This licence does not permit commercial reproduction, redistribution, resale, or adaptation of materials.
You may use the templates and tools provided in Programs in your own business operations. You may not present them as your own original work for commercial sale or distribution.
7. Fees and Payment
All Program fees are denominated in Malaysian Ringgit (RM) and are payable in full prior to commencement, unless a separate payment arrangement has been agreed in writing.

- Founder Finance Foundations Workshop: RM 1,730
- Complete Entrepreneurial Finance Program: RM 3,010
Accepted payment methods are communicated at the time of enrolment. Fees do not include any applicable taxes unless stated otherwise.
Refund Policy: Cancellations made more than 7 calendar days before the Program start date are eligible for a full refund. Cancellations within 7 days of the start date are not eligible for a refund but may be transferred to a future cohort at our discretion. Once a self-paced Program has been accessed, refunds are not available.
8. Program-Specific Terms
- Startup Finance Basics Course: Self-paced access provided for 6 months from the date of enrolment. No live sessions are included. Templates and materials are available for download within the access period.
- Founder Finance Foundations Workshop: Delivered across 5 scheduled weekly sessions. Attendance is your responsibility. Recordings of sessions, where made available, are for participant use only and must not be shared.
- Complete Entrepreneurial Finance Program: Includes self-paced modules, live check-ins, and community access for the duration of the 12-week program. Community access may continue beyond the program at Seedvern's discretion.
Program materials do not constitute certification, accreditation, or any formal qualification. Completion of a Program will be acknowledged where administratively appropriate but does not confer any regulated professional status.
9. Disclaimers
Programs are provided for general educational purposes only. Seedvern does not represent, warrant, or guarantee that:
- Content is appropriate for your specific business situation
- Participation will produce any particular business or financial outcome
- The information provided constitutes advice in any regulated sense
You should consult appropriately qualified and licensed professionals — including accountants, financial planners, and legal advisers — for advice specific to your circumstances. Seedvern is not a licensed financial adviser and does not act as one.
10. Limitation of Liability
To the fullest extent permitted by Malaysian law, Seedvern's total liability to you for any claim arising from your participation in a Program or use of our website shall not exceed the amount you paid for the relevant Program.
Seedvern shall not be liable for indirect, consequential, incidental, or special losses, including loss of profit, business opportunity, or data, even if we were advised of their possibility.
We are not liable for events beyond our reasonable control, including natural disasters, power failures, internet disruptions, or other force majeure circumstances that prevent Program delivery.
11. Indemnification
You agree to indemnify and hold harmless Seedvern, its staff, and representatives from any claims, losses, or expenses (including reasonable legal fees) arising from your misuse of Program content, breach of these Terms, or any misrepresentation you make to third parties based on Program content.
12. Termination
Either party may terminate participation in a Program by written notice. Where Seedvern terminates due to a breach of these Terms, no refund will be issued. Where Seedvern cancels a Program for reasons within its control, enrolled participants will receive a full refund or the option to transfer to a future cohort.
Provisions relating to intellectual property, disclaimers, limitation of liability, and dispute resolution survive any termination.
13. Dispute Resolution
These Terms & Conditions are governed by and construed in accordance with the laws of Malaysia. The courts of Malaysia shall have exclusive jurisdiction over any dispute arising from this Agreement.
Before initiating formal proceedings, we encourage you to contact us at [email protected] to attempt an informal resolution. We aim to respond within 10 business days.
Where informal resolution is not achieved, either party may pursue the matter through Malaysian courts or, by mutual written agreement, refer the matter to a mutually agreed mediator.
14. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and Seedvern regarding Program participation, superseding any prior representations.
- Severability: If any provision is found to be unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of our right to enforce it in future.
- Assignment: You may not assign your rights or obligations under this Agreement without our written consent. Seedvern may assign its rights in the event of a business transfer.
- Notices: Notices from Seedvern will be sent to the email address you provided at enrolment. Notices to Seedvern should be sent to [email protected].
15. Changes to These Terms
We may update these Terms from time to time. Where changes are material, enrolled participants will be notified by email at least 14 days before changes take effect. Continued participation after that date constitutes acceptance of the updated Terms.
The current version of these Terms is dated 10 June 2025.
